  1. Based on legal, law and regulation in Indonesia, there are 2 basic types of unit business (company) governed by Law and Indonesia Commercial. The differences are in the responsibility and capital that has to be paid up on running the business.
  2. Perusahaan Terbatas (limited liability company) is the company governed by law number 40 year 2007 with criteria;

    • PT national ( BV ) is established with purpose to have more than one share holder that will bring in the funds .
    • Company will be managed based on share holders interest not Business ‘ Owner’ Managed
    • Bureaucracy of PT ( dutch BV ) more detailed , like compulsory of submitting financial audited reports , more complex tax regulations, required licenses and permits.
    • In case you would like to establish PMA ( Foreign controlled Direct investment) you will still need a local (Indonesian) partner and or shareholder , because of the type of business you are in ( property service )

  3. CV is the company governed by Indonesia Commercial Code with criteria;

    • CV can be used for Business Owner Managed (BOM) companies with 3 scales of businesses (small, medium and big).
    • Company will be managed in line with only owner interest
    • Bureaucracy of CV much more simple in dealing with financial report, tax regulation, license and permits.

  4. Amparo’s strongly recommends Perseroan Terbatas (same as dutch BV ) in accordance with your interest.
  5. Time frame of developing such a PT is on average not more than 120 working days (after all documents are completed).
